USER
AGREEMENT

User Agreement or Agreement shall mean this Agreement entered into by and between SIBUR and the User under the terms and conditions set out below, the text of which is posted on the Platform at https://goods.sibur.com.
Application shall mean a duly executed Client's request to purchase Goods submitted via the Platform.
Platform shall mean a digital storefront, an aggregator of information about the Goods, an information system (software for electronic computers) operated by SIBUR, located at https://goods.sibur.com, which:
- provides the Client with the opportunity to get information about Suppliers' offers for the supply of Goods.
User/Client shall mean a legal entity and/or individual who has access to the Platform and/or accepts the terms and conditions of the Agreement.
Supplier shall mean a legal entity that has placed an advertisement for the sale of Goods on the Platform.
Website shall mean https://goods.sibur.com, which hosts the Platform owned and administered by SIBUR.
SIBUR shall mean PJSC "SIBUR Holding".
Goods shall mean products, a set of products manufactured and sold by the Supplier.
Email shall mean the email address specified by the User when submitting a Request on the Platform.

2.1. The User Agreement establishes the terms, conditions and restrictions for the use of the Platform by Users.
The subject matter of the User Agreement is to enable Users to search for Suppliers of Goods, as well as submit Requests for the purchase of Goods using the Platform's functionality.

2.2. The User Agreement on the terms and conditions of use of the Platform shall apply to any use of the Platform by Users and to any messages, emails, any information posted using the Platform or similar services provided by the Platform.
The User's accepts the terms and conditions of this User Agreement by starting to use the Platform. The User Agreement does not require bilateral signing and is valid electronically.
If the User does not accept this User Agreement, the User is not allowed to use the Platform and\or leave User`s data on the Platform.

2.3. The User shall have access to the Platform 24 hours a day, 7 days a week, except for routine maintenance and/or technical reasons, force majeure.

3.1. The User undertakes to comply with the following terms, conditions and restrictions when using the Platform:
- The User shall use the Platform under the terms and conditions of the Agreement.
- The User undertakes to fulfill all obligations provided for in this Agreement between SIBUR and the User, including conditions and restrictions for the use of property.
- When using the Platform, the User undertakes to comply with the current legislation of the Russian Federation.
- The User shall not be entitled to violate the rights and legitimate interests of SIBUR, its employees and other Users.
- The User shall be responsible for the accuracy of the information provided in the Request.
- The User agrees that SIBUR shall not be responsible for the inaccuracy of the information about the Goods specified in the Suppliers' ads posted on the Platform.
- The User is not allowed to submit on the Platform personal data of third parties who are not employees or User`s representatives of the User. The User agrees that it will submit personal data of the User's representatives only if User has obtained the relevant, duly executed written consent of such representative to process and transfer its personal data.
- The User shall not be entitled to post on the Platform any information of a political, propaganda, religious nature, information that discredits the honor, business reputation, dignity of SIBUR, as well as any other User and/or third party, including information the dissemination of which is in any way prohibited or restricted in the Russian Federation;
- The User undertakes to cease any violation of the User Agreement within twenty-four (24) hours of SIBUR's notification to the User.
- The user undertakes to respond to any SIBUR's request relating to compliance with the User Agreement and other agreements on the Platform within twenty-four (24) hours of making such a request.

3.2. By using the Platform, the User acknowledges and agrees that all Platform, its content and structure constitutes SIBUR's intellectual property. No rights to any content of the Platform, including, but not limited to, audiovisual works, text and graphic materials, computer programs, trademarks, shall be transferred to the User while using the Platform, except for the right to use the Platform for the purposes specified in the User Agreement.
The use of the Platform by User under no circumstances shall entail the transfer to the User of a program code or the grant to the User of any intellectual property rights on the Platform, with the exception of the right to use the Platform for the purposes specified in this User Agreement.

3.3. The User shall not be entitled to copy, modify, amend, delete, supplement, publish, transfer the intellectual property in the Platform, create derivative works, produce or sell goods/provide services based thereon, reproduce, display or otherwise exploit or use such intellectual property without the express written consent of SIBUR.
The User shall not be entitled to copy, upload to any physical media, cloud storage, distribute by any means (including by creating photos, screenshots and videos) the Platform, as well as any elements of the Platform, including but not limited to: trademarks, logos, icons, fonts, font images, design and corporate identity elements, program code, Platform design, articles, material selections, catalogs, design layouts, audiovisual works.

4.1. SIBUR shall provide and maintain the Platform on an “as is” basis and shall only be responsible for making the Platform available for use with reasonable care and does not provide any other warranties regarding the Platform.

4.2. SIBUR shall not be liable for any losses or damages \, including without limitation direct damage, loss of profits, even if this losses or damages were the result of circumstances of which SIBUR has not been notified by the User.

4.3. SIBUR shall not be liable for malfunctions, errors and failures in the software and/or hardware ensuring the functioning of the Platform that occur for reasons beyond SIBUR's control, as well as for the User's losses and damages related to such malfunctions, errors and failures.

4.4. SIBUR shall not be held liable for the User's temporary lack of access to the software and/or hardware ensuring the functioning of the Platform, as well as the User's losses related to such lack of access.

4.5. SIBUR shall not be liable for any damages, losses and/or loss of profits of the User and/or of any third party, or for loss of information resulting from of the use of Platform or inability to use the Platform.

4.6. SIBUR shall not be liable for the User's losses resulting from illegal actions of third parties, including those related to unauthorized access to the User's device that allows using the Platform.

4.7. SIBUR shall not be held liable for the User's losses resulting from:
4.7.1. Amendments made by the User or third parties to the software of the device that allows using the Platform, as well as from “viruses” and other malicious codes or programs contained in these devices or software used by the User to access the Platform.
4.7.2. Incorrect indication of the User's details, as well as other User`s information submitted trough the Platform.
4.7.3. Violations by the User of the terms of this Agreement, or any other rules and\or recommendations for using the Platform.

4.8. The User shall be fully responsible for the accuracy of the information provided by the User while using the Platform.

4.9. The User and SIBUR shall be released from any liability for full or partial breach of their obligations under the User Agreement, if such breach was the result of force majeure, if such circumstances arose after the User Agreement was entered in force, or if such breach was the result of emergency events that could not have been foreseen and prevented by reasonable measures.

4.10. In other cases of breach or improper fulfillment of obligations under the Agreement, the User and SIBUR shall be held liable in accordance with the legislation of the Russian Federation, taking into account the conditions of this Agreement.

5.1. SIBUR shall be entitled to suspend the access to the Platform for technical or other reasons. At the same time, SIBUR shall, if technically possible, notify the User about the suspension of the access to the Platform. In any case, SIBUR shall not be liable for any losses or damages that the User has incurred or may incur as a result of such suspension, regardless of notification by SIBUR.

5.2. SIBUR may unilaterally establish additional and/or different terms and conditions for using the Platform by amending this Agreement and/or publishing a new version of the User Agreement on the Platform.

5.3. In case if the User does not agree with the amendments of this Agreement, it shall immediately notify SIBUR and cease to use the Platform. By continuing to use the Platform, the User accepts the amendments made to provisions of the Agreement.

6.1. By using the Platform, the User represents and warrants that:
- it is an entity duly incorporated (registered) and validly existing in accordance with the legislation of the Russian Federation;
- it has all the necessary permitions, licenses and certificates necessary to conduct the activities provided for in the Agreement;
- the data (personal data) submitted to the feedback form on the Platform are valid;
- it has reviewed the terms and conditions of this Agreement in full;
- it accepts all the terms and conditions of this Agreement without any exceptions and restrictions and undertakes to comply with them;
- has all the necessary rights and authorities to accept the Agreement;
- the Platform will be used exclusively for the purposes permitted by this Agreement, in accordance with its provisions, and with the requirements of applicable law and\or common practice;
- it will not take any actions that contradict or interfere with the provision of the Platform or the operation of the relevant equipment, networks, or software through which the Platform is accessed;
- using the Platform for specific purposes does not violate the property and/or moral rights of third parties, as well as prohibitions and restrictions established by any applicable law, including the laws of the Russian Federation.

7.1. The Agreement shall be regulated and subject to interpretation in accordance with the legislation of the Russian Federation.

7.2. By concluding the Agreement, the User confirms the consent of its representatives and employees to the processing of their personal data by SIBUR and its Affiliates and third parties engaged by SIBUR to perform this Agreement in accordance with Federal Law No. 152-FZ "On Personal Data" dated July 27, 2006 (hereinafter - the Russian personal data legislation).

7.3. The User shall be held liable for any possible claims that may arise due to violations of the Russian personal data legislation resulting from the User's actions (inaction) and indemnify SIBUR in full against all losses and damages incurred by SIBUR within five (5) business days from the date of receipt of the claim from SIBUR.
